Terms and conditions of use of Resizely

Resizely is an online service that allows you to transform images into different resolutions and formats, using an HTTP API. The service is provided by Quantos S.r.l.s., with registered office in Via Cassia 1284, 00189 Rome, Italy, VAT number 14767021000 (hereinafter, "Resizely" or "we").

These terms and conditions of use (hereinafter, the "Terms") govern the access and use of the service by the users (hereinafter, the "Users" or "you"). By accessing or using the service, you declare that you have read, understood and accepted the Terms. If you do not accept the Terms, you cannot access or use the service.

1. Registration and account

To access and use the service, you must register and create a personal account. To register, you must provide some personal information, such as your name, your email address and a password. You must provide truthful, complete and updated information, and keep your account secure and protected. You cannot create more than one account, nor use the account of another person without their consent. You are responsible for all activities that occur on your account, and you must notify us immediately if you suspect or detect any unauthorized use or security breach of your account.

2. Plans and payments

The service offers a free plan and several paid plans, which you can choose according to your needs. The free plan allows you to transform up to 1000 images per month, at no cost. The paid plans allow you to transform a greater number of images per month, depending on the plan chosen, and involve a fixed monthly cost and a variable cost for any images exceeding the limit of the plan. To activate a paid plan, you must provide a valid payment method, such as a credit card. By accepting the Terms, you authorize us to charge the cost of the paid plan on your payment method, according to the billing cycle chosen. If your payment method is not valid, expired or insufficient, we reserve the right to suspend or terminate your access to the service, without notice. You are responsible for paying any taxes, fees or charges applicable to the service, unless they are explicitly included in the price of the paid plan.

You can change or cancel your paid plan at any time, by accessing your account. The change or cancellation of the paid plan will take effect from the following month. We do not make refunds or credits for paid plans already paid or used, unless otherwise provided by applicable law.

3. License and intellectual property

Resizely grants you a limited, non-exclusive, non-transferable and revocable license, to access and use the service, exclusively for your personal or professional purposes, in accordance with the Terms. All intellectual property rights on the service, including but not limited to trademarks, logos, names, designs, codes, algorithms, interfaces, documentation and content, are owned by Resizely or its licensors, and are protected by national and international laws. You cannot copy, modify, distribute, sell, license, rent, lend, transmit, reproduce, create derivative works, reverse engineer, decompile or disassemble the service, or any part of it, without our prior written consent.

The images that you transform through the service are your property or your licensors, and Resizely does not claim any rights over them. You grant us a limited, non-exclusive, non-transferable and revocable license, to access, store, process and transmit your images, exclusively to provide you with the service, in accordance with the Terms and our privacy policy. You are responsible for ensuring that you have all the rights and permissions necessary to use your images on the service, and that you do not violate the intellectual property rights or other rights of third parties. You cannot use the service to transform images that are illegal, offensive, defamatory, obscene, pornographic, violent, threatening, discriminatory or that violate the applicable law in any way.

4. Limitations and liability

The service is provided "as is" and "as available", without any warranty of quality, reliability, security, correctness, completeness or suitability for a particular purpose. Resizely does not guarantee that the service is always available, accessible, uninterrupted, timely, accurate or error-free. Resizely is not liable for any losses, damages, claims, costs or expenses arising from or in connection with the access or use of the service, or the inability to access or use the service, by you or third parties. Resizely is not liable for any losses, damages, alterations, distortions or corruptions of your images or the results obtained through the service. Resizely is not liable for any violations of intellectual property rights or other rights of third parties caused by your images or your use of the service. Resizely reserves the right to modify, suspend or terminate the service, or any part of it, at any time and for any reason, without notice or liability.

To the maximum extent permitted by applicable law, the total liability of Resizely to you for any claim arising from or in connection with the Terms or the service, whether based on contract, tort, negligence or otherwise, is limited to the amount paid by you for the service in the 12 months preceding the claim, or, if you have paid nothing, to 10 euros.

5. Indemnity

You agree to indemnify, defend and hold harmless Resizely and its officers, employees, agents, partners, licensors and suppliers from and against any claim, action, proceeding, liability, loss, damage, cost or expense, including legal fees, arising from or in connection with your breach of the Terms, your misuse of the service, your images or your violation of intellectual property rights or other rights of third parties.

6. Changes to the Terms

Resizely reserves the right to change the Terms at any time and at its discretion, by posting the updated Terms on the website https://resizely.net. If the changes are substantial, Resizely will inform you by email or through a notification on the service. If you continue to access or use the service after the posting or notification of the updated Terms, you agree to the updated Terms. If you do not agree to the updated Terms, you must stop accessing or using the service.

7. Applicable law and competent court

The Terms and the service are governed and interpreted in accordance with Italian law, without regard to the principles of conflict of laws. Any dispute arising from or in connection with the Terms or the service will be subject to the exclusive jurisdiction of the courts of Rome, Italy, unless otherwise provided by applicable law.

8. General provisions

The Terms constitute the entire agreement between you and Resizely in relation to the service, and supersede any previous or contemporaneous agreement, written or oral, between you and Resizely. If any provision of the Terms is deemed invalid, illegal or unenforceable by a competent court, such provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of the Terms will remain in force. The failure to exercise or enforce a right or a provision of the Terms by Resizely does not constitute a waiver of such right or provision. Resizely may assign the Terms, in whole or in part, to any person or entity, without your consent. You cannot assign the Terms, in whole or in part, to any person or entity, without our prior written consent.
